The law firm hired by LIV Golf to help secure outside investors recently created a new corporate entity on the league’s behalf in New Jersey, offering a glimpse into how the embattled circuit is restructuring following its split from its Saudi backer.

LIV Golf Bedminster LLC was incorporated on July 15, about three weeks before the event currently underway at Trump National Golf Club Bedminster. The filing with New Jersey’s Secretary of State, obtained by Sportico, lists LIV Golf’s New York City office as the company’s principal business address and names Kyle Ezring, an associate attorney at Gibson Dunn.

The LLC’s purpose is not immediately clear, and a LIV spokesperson declined to comment. But the filing marks a notable departure from the league’s previous corporate registration practices and may signal an effort to organize operations on an event-by-event basis by placing individual tournaments into separate legal entities.

Such a structure could help isolate assets and liabilities, a common approach for businesses seeking to limit legal exposure. It could also become significant if LIV Golf were ever forced to seek bankruptcy protection, following this year’s decision by the Saudi Public Investment Fund (PIF) to end its financial backing of the circuit.

On Wednesday in Bedminster, N.J., LIV Golf CEO Scott O’Neil announced the league had reached an agreement with an unnamed investor as part of a broader restructuring that would make LIV players majority equity holders. The announcement offered few details, however, leaving significant questions about the league’s capitalization and long-term strategy.

LIV’s U.S. operations are conducted through LIV Golf Inc., a Delaware corporate entity, which has historically registered to do business in tournament-hosting states—including New Jersey, Florida, Oklahoma, West Virginia and Louisiana—through foreign registrations using corporate services firm Zedra as its registered agent.

In fact, the league filed its most recent annual report in New Jersey on April 17—just two weeks before PIF announced it would end its financial commitment. LIV Golf Bedminster LLC, meanwhile, is the first standalone LLC that LIV has registered in the U.S. outside the Delaware entity.

Last month, ESPN reported two English golf companies, the World Golf Group and Premier Golf League, sued LIV Golf in British court, seeking hundreds of millions of dollars in damages and alleging the league misappropriated their concept for a global golf circuit.

In the United States, LIV Golf is currently defending three federal lawsuits. They include a proposed class action alleging violations of the Video Privacy Protection Act, a trademark infringement action by a New York-based distillery, and a breach of contract case by Canada-based Mobii Systems. Mobii, which provided broadcast technology services to LIV Golf, is suing for $1.1 million over what it alleges are unpaid invoices.

LIV Golf’s season-ending team championship was scheduled to take place later this month in Michigan, but the league has declined to confirm that the event will proceed. LIV Golf Inc. is not registered in Michigan, according to the state’s Department of Licensing and Regulatory Affairs.
