Most-favored-nation (MFN) pricing, however, remains a significant concern, with companies adjusting deal models and reconsidering European launch obligations to protect US revenues.
• Contract flexibility as a defining feature: Oren emphasized that flexibility is one of the most critical structural features in current licensing agreements, given that products under negotiation today may not launch for seven to ten years — well beyond the horizon of today's policy environment. He also flagged emerging European regulatory frameworks that could drive launches across all European markets if a product launches in any single country.
• AI-driven due diligence: AI is enabling deal teams to review significantly larger document volumes without extending timelines, with deeper scrutiny now applied to China's role in supply chains, data sourcing, and increasingly complex regulatory frameworks.
